These Terms govern your use of apexwill.com and your purchase of products from APEXWILL INC. By using the site or placing an order, you agree to these Terms.

1. Eligibility

You must be at least 18 years old (or the age of majority in your state) and able to form a binding contract. If you are under 18, you may only use the site with a parent or guardian's permission and supervision.

2. Accounts

You are responsible for your account credentials and for any activity under your account. Provide accurate information and keep it current. (Note: completing a purchase may create a Shop account as described at checkout; you may delete it later.)

3. Orders, Pricing & Availability

We reserve the right to refuse or cancel any order, limit quantities, and correct pricing or typographical errors. Prices are shown in U.S. dollars and exclude taxes and shipping shown at checkout. We are not responsible for estimates or promotions that contain errors.

4. Payment

Payment is processed by third-party processors (PayPal, Klarna, Afterpay, Affirm, Shop Pay, cards). By paying you authorize the charge. Chargebacks filed without valid cause may result in loss of purchasing privileges.

5. Shipping & Delivery

See our Shipping Policy. Risk of loss passes on delivery. Delivery times are estimates, not guarantees.

6. Returns, Refunds & Warranty

Returns are governed by our Refund & Return Policy. Defects are covered by our 1-Year Limited Warranty. These policies are part of your purchase agreement.

7. E-Bike Safety & Legal Compliance

Electric bikes are vehicles. You are responsible for:

• Wearing an approved helmet and following all traffic and safety laws;
• Complying with federal, state, and local laws on where e-bikes may be ridden, speed limits, age requirements, licensing, and registration;
• Understanding that higher-speed models may be regulated as motor vehicles and may require a license, registration, or be restricted from public roads;
• Supervising any minor rider and never allowing use contrary to the law or the product manual.

APEXWILL is not liable for injuries or penalties arising from misuse, failure to follow laws, or failure to follow the product manual.

8. Intellectual Property

All site content, trademarks, logos, and product designs are owned by APEXWILL INC or its licensors. You may not copy, reproduce, or use them without written permission.

9. User Content

If you submit reviews or content, you grant APEXWILL a non-exclusive, royalty-free license to use it for marketing and improvement. You are responsible for ensuring your content is lawful and non-infringing.

10. Prohibited Uses

You may not use the site for unlawful purposes, to harass, to scrape or disrupt the site, or to infringe rights. We may terminate access for violations.

11. Disclaimers

Products are provided "AS IS" and "AS AVAILABLE" to the maximum extent permitted by law. Except as expressly stated in our Warranty, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

12. Limitation of Liability

To the maximum extent permitted by law, APEXWILL's total liability for any claim arising from your purchase or site use is limited to the amount you paid for the product. We are not liable for indirect, incidental, or consequential damages.

13. Indemnification

You agree to indemnify APEXWILL against claims arising from your misuse of products, violation of laws, or breach of these Terms.

14. Dispute Resolution & Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Travis County, Texas.

Informal resolution first: Before filing a claim, contact [email protected] so we can try to resolve it.

Binding arbitration: Any dispute not resolved informally will be settled by binding arbitration administered under Texas law, except that either party may bring an individual claim in small-claims court. You may opt out of arbitration within 30 days of these Terms' effective date by emailing [email protected]. A class-action waiver applies: disputes are individual only.

15. Changes to Terms

We may update these Terms; continued use after changes constitutes acceptance. Material changes will be noted by a new "Last updated" date.
